Terms and Conditions (T&Cs) – SEODROME Digital Marketing Agency

1. Scope of Application

These Terms and Conditions ("Terms") apply to all contracts, services, and offers between SEODROME Digital Marketing Agency (hereinafter "Agency") and its clients (hereinafter "Client"), unless otherwise agreed in writing.

2. Conclusion of Contract

A contract between the Agency and the Client comes into effect as soon as the Client accepts a written or electronic offer from the Agency. Any changes or additions to the contract must be made in writing.

3. Services of the Agency

The Agency provides services in the areas of online marketing, SEO, SEA, social media marketing, Amazon and Shopify management, as well as other digital marketing solutions. The Agency is entitled to engage suitable third parties to fulfill the contract.

4. Client Obligations

The Client agrees to provide all information, access, and materials necessary for the performance of the services in a timely manner. Delays resulting from a lack of Client cooperation shall extend the service timeline accordingly.

5. Compensation and Payment Terms

Unless otherwise agreed, the prices stated in the offer shall apply. Payments are due within 14 days of invoicing without deduction. In the event of late payment, the Agency reserves the right to suspend ongoing services until full payment has been received.

6. Liability

The Agency shall only be liable for damages resulting from intentional or grossly negligent conduct. Further liability, in particular for lost profits or consequential damages, is excluded.

7. Data Protection

The Agency processes personal data exclusively in accordance with applicable data protection laws, in particular the General Data Protection Regulation (GDPR). Further information is available in the Privacy Policy.

8. Copyright

All concepts, designs, and content created by the Agency remain the property of the Agency until full payment has been received. Use beyond the agreed purpose is only permitted with the Agency's written consent.

9. Governing Law and Jurisdiction

The laws of the Federal Republic of Germany apply to all legal relationships. To the extent legally permissible, the place of jurisdiction for all disputes shall be the registered office of the Agency.

10. Final Provisions

Should any provision of these Terms be invalid, the validity of the remaining provisions shall remain unaffected. Amendments or additions to these Terms must be made in writing.
